2. BY USING THE PLATFORM, YOU AGREE TO THESE TERMS OF USE
   By accessing and continuing to use the Platform, you acknowledge and accept these Terms of Use and agree that these Terms of Use govern and regulate your access to and use of the Platform and all its Content.

You understand that these Terms of Use form a legally binding agreement between you and Nayum pk.

If you are using the Platform on behalf of a business entity, you represent that you have the authority to legally bind that entity.

If you disagree with any part of these Terms of Use, you are prohibited from accessing or using the Platform and must immediately stop doing so.

3. WE MAY UPDATE THESE TERMS OF USE
   We may modify these Terms of Use periodically, with or without prior notice to you. The updated version of these Terms of Use will be posted on this page. If you are an existing registered user, we may also notify you of significant changes to these Terms of Use via email (for example, when required by law).

Each time you access the Platform, please review these Terms of Use to ensure you are aware of the current terms and conditions that apply to the Platform and its content.

4. WE MAY MODIFY THE PLATFORM
   We may update how the Platform operates and/or alter any Content at any time without prior notice. This could be done, for instance, to accommodate changes in the features and functionalities of the Platform, advancements in technology, shifts in market practices, applicable laws or regulations, and/or our business objectives.

5. WE MAY SUSPEND OR DISCONTINUE THE PLATFORM
   The Platform and/or any of its Content will always be available without charge or accessible at all times, we do not guarantee that. We may temporarily withdraw, suspend, or limit the availability of all or any part of the Platform for operational and/or business reasons.
   
6. YOUR PRIVACY
   For detailed information on how we collect, process, and share your personal data in connection with your use of the Platform, please refer to our Privacy Policy.
   
7. YOUR RIGHT TO ACCESS THE PLATFORM AND CONTENT
   Provided that you comply with these Terms of Use, Nayum pk grants you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the platform and its elements.

You are permitted to print one (1) copy and download portions of any page(s) from the Platform for personal use, and you may share the available Content with others. However, you must not alter the physical or digital copies of the materials you’ve printed or downloaded in any way. You are also prohibited from using any visuals, photos, videos, audio sequences, or graphics apart from the accompanying text. Additionally, you are not allowed to use any Content for commercial purposes unless you obtain explicit permission from us.

Nayum pk retains ownership or licensing rights to all content and intellectual property related to the Platform, including but not limited to designs, text, graphics, and their arrangement. The Platform and its Content are protected under global copyright laws and treaties. All such rights are reserved.

The official logos, trademarks, service marks, and service names (“Marks”) exhibited on the Platform are owned by us or other third parties. You may not use these Marks without prior written consent from us.

8. RESTRICTIONS
   You must not:

• Access the Platform if you are under the age of eighteen (18).
  
• Use the Platform for any illegal activities or for purposes that are prohibited by law.
  
• Try to gain unauthorized access to the Platform, its server, or any associated databases or servers.
  
• Interfere with, damage, or disrupt any part of the Platform, its Content, or any equipment or networks used to store or provide access to the Platform or its Content.
  
• Deliberately uploading viruses, trojans, worms, logic bombs, or other harmful or technologically damaging materials to the Platform.
  
• Pretend to be someone else while accessing or using the Platform.
  
• Behave in an inappropriate, offensive, harassing, or disrespectful manner while using the Platform.
  
• Utilize the Platform to create unwanted advertisements or send spam.
  
• Replicate, duplicate, reproduce, sell, trade, resell, or exploit any part of the Platform or its Content for any commercial gain.
  
• You must not use manual techniques, software, devices, scripts, robots, or any other tools or methods (including but not limited to ‘spiders’, ‘bots’, and ‘crawlers’) to extract or collect data from the Platform and its Content. Additionally, you must not attempt to create or compile a collection, database, or directory from the Platform’s Content through single or multiple downloads, nor should you try to bypass any robot exclusion headers we may set up.
  
• Prohibited from reverse-engineering, decompiling, disassembling, deciphering, or attempting to obtain the source code of the Platform and its Content.

We will report any violations of these restrictions to the appropriate law enforcement authorities and cooperate with them by sharing your identity.

9. ACCOUNT SETUP.
   Setting up an account. While you may browse the Platform without logging in, creating an account (“Account”) is required to access specific features. If you opt to register, you’ll be asked to provide certain details about yourself during the registration process on the Platform.

Providing accurate and current information. If you decide to create an Account, all the details you submit must be correct and current. Should any information you provide become inaccurate, misleading, or incomplete for any reason, it is your responsibility to update it promptly to keep it accurate.

Requesting account deletion. If you wish to delete your Account, you can send an email to admin@nayum.pk requesting the removal.

Account responsibility. You are solely responsible for safeguarding your Account login credentials, including your password. As such, you are accountable for any activity that occurs under your Account.

Unauthorized use of your Account. If you become aware of or suspect any unauthorized access to your Account or any security breaches, you must inform us immediately.

Privacy. All the data you provide when setting up an Account (including any information submitted for ‘Verified’ status) will be handled in line with our Privacy Policy.

10. PAID OFFERINGS.
    Sometimes Nayum pk may offer paid services (“Paid Service”). For instance, you might choose to pay a fee to have your Listing displayed more prominently in search results on the Platform.

By using any Paid Service, you acknowledge and agree to the following terms:

• Any fees paid for a Paid Service are non-refundable under any circumstances.
  
• Paid Services are provided as a convenience, but they do not guarantee the success of your Listing or ensure a minimum number of leads for your Listing.
  

11. LISTINGS.
    The Platform allows users who wish to sell an item or service (“Seller”) to create advertisements for these items or services (“Listing”) visible to other users on the Platform. Interested users (“Buyer”) can then contact the Seller through the Listing to make an offer.

As a Seller, you must:

• Ensure that you are legally authorized to sell the item or service on the Platform.
  
• Be the legitimate owner of the item or have the legal right to sell the item or offer the service displayed in your Listing.
  
• Make sure your Listing adheres to our Acceptable Use Policy.
  
• Provide a full and accurate description of the item or service in your Listing.
  
• List only one (1) item or service per Listing; you cannot combine multiple items or services in a single Listing.
  
• Avoid posting Listings in the wrong categories or locations on the Platform.
  
• Do not list counterfeit products or items that violate copyright, trademark, or other third-party rights.
  
• Refrain from acting as a third-party agent, service, or intermediary by posting Listings on behalf of others.
  
• Comply with all relevant laws and regulations related to your Listing.
  
• Engage with Buyers in a lawful and honest manner.
  

As a Buyer, you must:

• Be legally authorized to purchase the item or service through the Platform.
  
• Engage with Sellers in a lawful and ethical manner.
  

Occasionally, we may provide a feature that allows you to automatically generate Listings using an artificial intelligence (AI) tool. This feature is intended solely for your convenience. However, because of the nature of AI, the results may not always be fully accurate or complete. It is your responsibility to verify all information in your Listing before publishing it on the Platform. Nayum pk assumes no liability for any issues related to the use of this feature.

12. NAYUM PK IS NOT LIABLE FOR LISTINGS.
    By using our Platform, you acknowledge and agree that Nayum pk is not obligated to oversee, approve, or review Listings or their content. We do not take responsibility for the Listings posted by users on the Platform.

When you decide to purchase an item or service through the Platform, you are entering into a transaction directly with the user who created the Listing, without any involvement from Nayum pk.

Although Nayum pk does not hold responsibility for Listings, we retain the right to monitor the Listings and remove any Listing from the Platform if, at our sole discretion, we believe the Listing violates these Terms of Use (including our Acceptable Use Policy).

13. REVIEWS AND RATINGS.
    Nayum pk allows users to provide ratings and feedback on their interactions with other users of the Platform. Additionally, users can reply to any ratings or reviews they receive (referred to as a “Review”). The purpose of Reviews is to foster trust and transparency within the Platform and cultivate a respectful community.

Every Review shared on the Platform must fully adhere to these Terms of Use and our Acceptable Use Policy. Furthermore, Reviews should:

• Be fact-based, precise, and reflect the genuine opinion of the person submitting the Review.
  
• Reflect the reviewer’s authentic experience and should not be influenced by personal biases or irrelevant factors.
  
• Not contain defamatory, harmful, obscene, or inflammatory content.
  

By posting a Review, you agree and acknowledge that any opinions expressed in the Review are entirely your own.

Reviews are not endorsed by Nayum pk and do not represent the views or opinions of the Platform. Nayum pk takes no responsibility or liability for any Review posted. The responsibility for any Review rests entirely with the individual reviewer.

While Nayum pk does not take responsibility for Reviews posted on the Platform, we reserve the right to monitor them and remove any Review if, in our judgment, it violates these Terms of Use (including our Acceptable Use Policy).

14. UPLOADING CONTENT TO THE PLATFORM.
    Any content you upload to the Platform, whether as part of a Listing or otherwise, will be treated as non-confidential and non-proprietary.

You retain full ownership of your content, but by uploading it, you grant us and other users of the Platform a limited license to use, store, copy, distribute, and make it accessible to third parties. Specifically, you provide us with a perpetual, global, non-exclusive, royalty-free, transferable license to utilize, reproduce, distribute, create derivative works from, display, and perform the content in connection with the services offered on the Platform, including for promotional purposes.

You are entirely responsible for safeguarding and backing up your content.

We reserve the right to reveal your identity to any third party who claims that the content you have uploaded infringes upon their intellectual property rights or privacy.

We have the right to remove any content you upload to the Platform, with or without prior notice, if, in our sole discretion, we determine that it violates these Terms of Use (including the Acceptable Use Policy).

15. ACCEPTABLE USE POLICY.
    When you use any feature that allows you to upload content or interact with other users on the Platform, you must adhere to the guidelines specified in our Acceptable Use Policy. You confirm that any content you upload complies with these standards, and you will be held responsible and indemnify us for any violations of this confirmation. This means you are accountable for any losses or damages we incur due to your failure to meet this requirement.
    
16. PROCESSING PAYMENTS.
    In certain cases, we may process payments through the Platform (for example, when you choose to purchase Paid Services).

By providing your payment details at checkout, you authorize us (through our selected payment processor) to charge the payment method you provided for the total amount shown during checkout.

We are not liable for any loss you incur if the payment method you use lacks sufficient funds to complete the payment.

17. OUR RESPONSIBILITY TO YOU.
    We do not intend to exclude or limit our responsibility to you in any way that would be unlawful.

With that said, our responsibility to you is as follows:

• For Business or Commercial Use: We offer the Platform and its Content to you “as is” and “as available.” We exclude any implied conditions, warranties, representations, or terms that may apply to the Platform or its Content. We are not liable for any loss or damage, whether due to contract, negligence, statutory duty breach, or any other reason—even if foreseeable—that arises from using or not being able to use the Platform or your reliance on any of its Content. Specifically, we are not responsible for:
  (i) loss of profits, sales, business, or revenue;
  (ii) business disruptions;
  (iii) loss of potential savings;
  (iv) loss of business opportunities, goodwill, or reputation;
  (v) data loss or corruption; or
  (vi) any indirect or consequential losses or damages.
  
• For Personal Use: You acknowledge that the Platform is only provided for personal and private use. We do not guarantee that the Platform will always be available, error-free, or meet any specific needs. You agree not to use the Platform for business or commercial purposes, and we are not responsible for any loss of profit, business disruption, or missed business opportunities. If we fail to follow these Terms of Use, we are only responsible for losses or damages that are a direct and foreseeable result of our failure to meet these Terms or act with reasonable care and skill.

Limit of Liability: Under no circumstances will our liability to you, in relation to your use of the Platform or these Terms of Use, exceed the greater of:
(i) the amount you paid for any Paid Service involved in any claim or dispute (if applicable); or
(ii) one thousand Pakisani Rs (Pkr 1,000).

18. VIOLATION OF THESE TERMS OF USE.
    If, at our sole discretion, we determine that you have violated any part of these Terms of Use, we reserve the right to take any necessary action as we see fit. This may include but is not limited to suspending or revoking your access to the Platform or its content, deactivating your Account, or pursuing legal measures against you.
19. REPORTING UNLAWFUL OR INFRINGING CONTENT.
    If you encounter any content on the Platform that you believe is unlawful, please reach out to us immediately at admin@nayum.pk, providing complete details of the illegal content.

In case you are the rightful owner of intellectual property or an authorized representative acting on behalf of such an owner, and you believe that any content violates your intellectual property rights (or the rights of the owner you represent), please contact us at admin@nayum.pk with comprehensive information regarding the alleged infringement. We will make all reasonable efforts to remove any infringing content from the Platform within a reasonable timeframe.

20. GENERAL.
    Links to External Websites or Content. The Platform may contain hyperlinks to other websites or third-party content (such as in Listings). These links are provided solely for your convenience and informational purposes. We do not endorse or approve of the linked websites or any material they offer. We have no authority over the content of these external sites and disclaim any responsibility or liability regarding them.

Guidelines for Linking to the Platform. You are permitted to create a link to any page or content on the Platform, provided that you do so in a manner that is lawful, fair, and does not tarnish our reputation or exploit it. You are not allowed to frame any part of the Platform within another website. You must not link to our site in a way that could imply we endorse or have any association with your website or its contents when we have not explicitly given such approval. We retain the right to revoke your permission to link to the Platform at any time without prior notice.

Contact Information. You can reach us via email at admin@nayum.pk. If we need to contact you, we will do so by sending an email to the address associated with your Account, if provided.

Virus Liability Disclaimer. We do not warrant that the Platform or its Content will be free of any bugs, errors, or viruses. It is your responsibility to ensure that your device is adequately secured to access the Platform and its content. You should use appropriate antivirus software when necessary to protect your system.

Exemption from Liability for External Events.
We are not responsible for any failure or delay in fulfilling our obligations if such failure or delay is caused by events that are beyond our reasonable control (referred to as “Force Majeure Events”). A Force Majeure Event includes any circumstance, occurrence, or situation that is beyond our control, such as acts, events, omissions, or accidents. If a Force Majeure Event occurs, our obligations will be paused for the duration of the event, and we will be granted an extension of time to fulfill our duties. We will make reasonable efforts to resolve the situation or find an alternative solution so that we can continue fulfilling our obligations, even if the Force Majeure Event persists.

Other Agreements with Nayum pk.
You may have lodged into separate agreements with Nayum pk or its partners or accepted additional terms for using other services provided by Nayum pk or its affiliates. These Terms of Use are applicable alongside any such agreements. If there is any conflict or inconsistency between these Terms of Use and any other agreement with Nayum pk or its affiliates, the provisions of these Terms of Use will take precedence, but only to the extent of the conflict or inconsistency.

Transfer of Rights and Responsibilities.
We reserve the right to transfer our rights and responsibilities under these Terms of Use to another entity. In the event of such a transfer, we will inform you in writing, and we will ensure that this transfer will not impact your rights as outlined in these Terms of Use.

No Third-Party Rights.
The Terms of Use are solely between you and Nayum pk, and no third party shall have any rights to enforce or rely upon any part of these Terms.

Delay in Enforcing Rights.
Even if we do not immediately enforce our rights under these Terms of Use, we retain the ability to do so at any point in the future. If we do not insist right away that you fulfill your obligations under these Terms, or if we postpone taking action for a breach, it does not waive our right to enforce those obligations or take action against you at a later time.

Severability of Terms.
If any part of these Terms of Use is found to be unlawful by a court, the remaining provisions will still remain valid and enforceable. Each section of these Terms is independent, and if any part is deemed illegal, the rest will continue to apply as intended.

Accessing the Platform from Other Regions.
The Platform is intended for users in specific regions only. We cannot guarantee that the Content on or accessible through the Platform is suitable for use in areas where we do not explicitly offer the Platform. Additionally, we cannot confirm that the Platform meets the legal requirements or regulations in regions where we do not operate.

Language.
If these Terms of Use are provided in another language and there is any inconsistency between the English version and the translated text, the English version will take precedence to the fullest extent allowed by applicable law.

Resolving Disputes.

In the event of a dispute with Nayum PK, we highly recommend reaching out to us directly via email at admin at nayum.pk in an attempt to resolve the issue. We will review your concern and make every effort to address it. If we are unable to reach a resolution through mutual agreement, the laws of the Dubai International Financial Centre (“DIFC”) will govern these Terms of Use, including their subject matter and formation, as well as any non-contractual disputes or claims, to the maximum extent permitted by law. You irrevocably consent to the exclusive jurisdiction of the DIFC courts for any dispute or claim arising from your use of the Platform or these Terms of Use, including any issues related to their existence, validity, termination, or any obligations, whether contractual or non-contractual.

21. SUPPLEMENTARY TERMS.
    The appendices to these Terms of Use include extra terms and conditions that apply specifically to certain features of the Platform. These supplementary terms are in addition to, but do not replace, the main provisions of these Terms of Use. In case of any inconsistencies or confusion between the main body of these Terms of Use and any appendix, the main provisions will take precedence.

SUPPLEMENTARY TERMS – VERIFIED BUSINESS ACCOUNT
Effective Date: 10 April 2025

These supplementary terms (referred to as the “Business Account Terms”) govern the use of the ‘Verified Business Account’ feature available on www.nayum.pk and any corresponding Nayum pk mobile applications that may be provided from time to time (referred to collectively as the “Platform”).

The Business Account Terms are an addition to, and form part of, the Nayum pk Platform Terms of Use. Any capitalized terms not defined within these Business Account Terms will carry the meaning outlined in the Nayum pk Platform Terms of Use. In the event of any discrepancy or contradiction between these Business Account Terms and the Nayum pk Platform Terms of Use, the Business Account Terms will take precedence.

1. FEATURE DESCRIPTION:

From time to time, Nayum pk may offer you the opportunity to use the ‘Verified Business Account’ feature (the “Feature”). This feature enables business users of the Platform to obtain a ‘Verified Business’ status. The benefits linked to this Feature may be modified periodically and will be detailed on the Platform as applicable (please check this page for updates).

Through this Feature, you may have the ability to showcase your business logo and a brief description of your business on your Nayum pk storefront and on your Listings. Additionally, you may include a link to your business website. You will be required to upload this content to the Platform. It is your responsibility to ensure that all uploaded content is accurate, appropriate, and complies with our Acceptable Use Policy and that it does not violate any third-party rights, including intellectual property and privacy rights. Only content related to your business should be submitted.

2. ENROLLING IN THE SERVICE

Business entities using the Platform can opt into the Feature anytime by following the steps outlined directly on the Platform.

Your access to the Feature will officially begin once we notify you that your verification has been successfully completed.

This Feature operates under a monthly subscription model, with the applicable rate clearly shown during checkout. Nayum PK retains the right to adjust subscription pricing at any time; in such cases, you’ll receive a prior notice via email before the updated pricing is applied.

Be aware that your subscription will auto-renew each month on the date corresponding to your original activation date (referred to as the “Billing Cycle”). The monthly fee will be automatically charged to your selected payment method unless you cancel the subscription through the designated process on the Platform.

If you cancel, you will still retain access to the Feature until your current Billing Cycle comes to an end.

3. SUBSCRIPTION FEE PAYMENT TERMS

By subscribing to the Feature, you consent to pay all applicable charges (“Subscription Fees”) to Nayum pk, as outlined at the time of checkout and subject to future adjustments.

Your chosen payment method will be charged at the beginning of each Billing Cycle to cover the Subscription Fees.

Nayum PK utilizes a trusted third-party payment service to facilitate these transactions. We recommend reviewing that provider’s terms of service and privacy policies.

You are solely responsible for ensuring that your selected payment method has adequate funds to process the Subscription Fees for every Billing Cycle. Nayum PK accepts no liability for any bank charges, overdrafts, or additional fees incurred due to insufficient funds or your method of payment.

If your payment cannot be processed in any Billing Cycle, Nayum pk reserves the right to temporarily restrict your access to the Feature and/or suspend your entire Platform account until full payment is received.

4. SUBMITTING KYC DOCUMENTATION

To activate this Feature, Nayum PK must verify that your account is being used in a business capacity. Therefore, you’re required to submit a valid copy of your commercial license (or an equivalent legal document). Nayum PK may also ask for further details or supporting materials as part of this process. By providing any such documentation, you confirm that all submitted information is authentic, accurate, and current.

All personal and business-related information shared with Nayum pk will be treated in alignment with the terms outlined in our Privacy Policy.

5. NO GUARANTEE ON FEATURE PERFORMANCE

This Feature is intended to distinguish business users on the Platform, helping enhance credibility and possibly improving the visibility of their Listings. That said, you acknowledge and accept that Nayum pk does not guarantee any specific results, outcomes, or increased engagement as a result of using this Feature.

6. WE RESERVE THE RIGHT TO MODIFY OR REMOVE THE FEATURE AT ANY TIME

Nayum pk retains full discretion to alter, enhance, reduce, or eliminate elements of this Feature at any time, with or without prior notice. These updates may affect the design, functionality, or overall operation of the Feature. You’re always free to end your subscription whenever you choose.

Nayum pk also holds the right to fully discontinue the Feature at any moment. Should this occur, you’ll be notified through email, and your subscription will be automatically terminated.

7. UPDATES TO THESE BUSINESS ACCOUNT TERMS

Nayum pk may revise these Business Account Terms periodically. These updates may occur with or without notification. The most recent version will always be available for your review on this page.
